TERMS AND CONDITIONS OF SERVICE

1. INTERPRETATION

1.1 In these Terms:

  • “Company” means CPD Waste Water Ltd 
  • “Client” means any person or entity engaging the Company 
  • “Business Client” means a Client acting in the course of business (B2B) 
  • “Consumer Client” means a Client acting wholly or mainly outside a trade or profession (B2C) 
  • “Services” means all works, maintenance, installation, repair, inspection, and related activities 

2. APPLICATION OF TERMS (B2B & B2C SPLIT)

2.1 These Terms apply to all Services supplied by the Company.

2.2 Where the Client is a Business Client (B2B), all provisions of these Terms shall apply in full.

2.3 Where the Client is a Consumer Client (B2C):

  • statutory rights under the Consumer Rights Act 2015 are not affected; and 
  • in the event of conflict, consumer law shall prevail over these Terms. 

2.4 Certain exclusions and limitations of liability contained herein shall apply primarily to Business Clients, as permitted by law.

3. BASIS OF CONTRACT

3.1 These Terms constitute the entire agreement between the parties.

3.2 No variation shall be valid unless confirmed in writing by the Company.

3.3 Instruction to proceed (written, verbal, or electronic) constitutes acceptance of these Terms.

4. SERVICES

4.1 The Company provides specialist wastewater services including:

  • Sewage pumps and sump pumps 
  • Sewage treatment plants 
  • Pumping stations 
  • Installation, servicing, repair, and refurbishment 
  • Emergency breakdown and diagnostic services 

5. QUOTATIONS, PRICING & VARIATIONS

5.1 Quotations are valid for 30 days unless stated otherwise.

5.2 Prices exclude VAT unless stated.

5.3 The Company reserves the right to adjust pricing for:

  • unforeseen site conditions 
  • hidden defects 
  • additional required works 
  • material or supplier cost changes 

5.4 Variation Orders

Where additional works are required, the Company may issue a Variation Order. The Client shall be liable for all additional costs reasonably incurred, whether agreed in writing or authorised on site verbally or by conduct.

6. RISK, SITE CONDITIONS & ACCESS

6.1 The Client shall ensure:

  • safe and lawful access 
  • accurate system information 
  • identification of known hazards 

6.2 Risk passes to the Client upon completion of works or delivery of materials to site (whichever occurs first), subject to statutory consumer protections for B2C Clients.

7. CALL-OUTS & EMERGENCY WORKS

7.1 Emergency attendance is subject to availability.

7.2 Call-out fees apply regardless of outcome where access is restricted or works cannot proceed.

8. PAYMENT TERMS

8.1 Payment is due within 30 days unless otherwise agreed in writing.

8.2 For Business Clients (B2B):

  • interest may be charged under the Late Payment of Commercial Debts (Interest) Act 1998 
  • recovery costs may be charged 

8.3 For Consumer Clients (B2C):

  • statutory protections under consumer law apply 
  • enforcement will follow applicable consumer credit and fair trading regulations 

9. RETENTION OF TITLE (B2B ONLY)

9.1 All goods supplied remain the property of the Company until full payment is received.

9.2 Until title passes, the Business Client shall:

  • hold goods as bailee; 
  • store goods separately; 
  • not sell, dispose of, or encumber goods. 

9.3 The Company may recover unpaid goods where payment is not made.

10. CLIENT OBLIGATIONS

The Client must:

  • provide safe access 
  • disclose known system issues 
  • ensure site readiness 
  • obtain necessary permissions or permits 

11. INDEMNITY (B2B ONLY)

11.1 The Business Client shall indemnify the Company against all claims, damages, losses, liabilities, and expenses arising from:

  • breach of these Terms 
  • unsafe site conditions 
  • inaccurate information 
  • misuse of systems 
  • third-party interference 

11.2 This indemnity survives termination.

12. WARRANTIES

12.1 Parts and labour warranties (typically 12 months) apply unless otherwise stated.

12.2 Warranties exclude:

  • misuse or neglect 
  • third-party alterations 
  • lack of maintenance 
  • normal wear and tear 

13. LIMITATION OF LIABILITY

13.1 For Business Clients (B2B):

  • liability is limited to the total value of the Contract 
  • indirect or consequential losses are excluded 

13.2 For Consumer Clients (B2C):

  • liability is limited only to the extent permitted by law 
  • nothing excludes liability for death or personal injury caused by negligence 

14. FORCE MAJEURE

The Company shall not be liable for delays or failure due to events beyond reasonable control including:

  • extreme weather 
  • flooding 
  • industrial action 
  • supply chain disruption 
  • government action 

15. TERMINATION

The Company may terminate immediately where:

  • payment is overdue 
  • breach of Terms occurs 
  • unsafe working conditions exist 
  • fraudulent or misleading information is provided 

16. INTELLECTUAL PROPERTY

All reports, documentation, and technical materials remain the property of the Company unless expressly agreed otherwise.

17. DATA PROTECTION

Personal data is processed in accordance with UK GDPR and the Data Protection Act 2018.

18. GOVERNING LAW

These Terms are governed by the laws of England and Wales. Courts of England and Wales shall have exclusive jurisdiction.

19. ENTIRE AGREEMENT

These Terms constitute the entire agreement between the parties and supersede all prior discussions or arrangements.
